1. Definitions

• “FarmLog” refers to FarmLog Technologies Ltd, its affiliates, and representatives.
• “User,” “you,” or “your” means any individual or entity accessing or using the Services.
• “Services” means all products, features, and content provided through the FarmLog website or platform.

2. Eligibility

To use our Services, you must:

• Be at least 18 years old, or have parental/guardian consent if under 18.
• Have the legal capacity to enter into binding agreements under Rwandan law.

3. Account Registration

• You may need to create an account to access certain features.
• You agree to provide accurate, complete, and up-to-date information.
• You are responsible for safeguarding your login credentials and for all activities under your account.
• FarmLog is not liable for unauthorized use of your account caused by your negligence.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful, fraudulent, or harmful purposes.
• Upload or share false, misleading, or offensive content.
• Attempt to gain unauthorized access to FarmLog’s systems or data.
• Copy, modify, reverse-engineer, or distribute any part of the Services without permission.

Violation of this clause may result in suspension or termination of your account.

5. Services and Subscriptions

• FarmLog provides both free and paid subscription plans.
• Details of plans, pricing, and limits are available on the website
• Subscription fees are non-refundable, except where required by law.
• FarmLog reserves the right to change pricing or features, with reasonable notice to users.

6. Payment Terms

• Payments must be made through approved channels (e.g., mobile money, bank transfer, card).
• By providing payment details, you authorize us to charge subscription fees on a recurring basis (monthly, quarterly, annually) until cancelled.
• Failure to pay may result in suspension or termination of your account.

7. Data Protection and Privacy

• FarmLog processes personal data in line with Law No. 058/2021 Relating to the Protection of Personal Data and Privacy.
• Our Privacy Policy explains how we collect, use, and protect your data.
• By using our Services, you consent to such processing.

8. Intellectual Property

• All content, software, designs, and trademarks on FarmLog are owned by or licensed to FarmLog Ltd.
• Users retain ownership of the data they upload but grant FarmLog a limited license to process and store it for service delivery.
• Unauthorized reproduction, distribution, or commercial use of FarmLog content is prohibited.

9. Limitation of Liability

• FarmLog provides Services “as is” and does not guarantee uninterrupted, error-free, or completely secure use.
• To the maximum extent permitted by law, FarmLog shall not be liable for:
• Indirect, incidental, special, consequential, or punitive damages.
• Loss of data, profits, revenue, or business opportunities from use of the services.
• FarmLog’s total liability in any claim shall not exceed the amount you paid (if any) in the last 12 months.

10. Indemnification

You agree to indemnify and hold FarmLog harmless from any claims, damages, or losses arising from your violation of these Terms or misuse of the Services.

11. Termination

• You may terminate your account at any time by contacting us.
• FarmLog may suspend or terminate your account if you violate these Terms or applicable laws.
• Upon termination, your right to use the Services ends immediately.

12. Third-Party Services

Our Services may include links to third-party websites or integrations. FarmLog is not responsible for third-party content, services, or practices.

13. Changes to Terms

FarmLog may update these Terms from time to time. Updates will be effective upon posting to the website. Continued use of the Services after updates constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the Republic of Rwanda.
• Any disputes shall first be resolved amicably.
• If unresolved, disputes shall be submitted to the competent courts of Kigali, Rwanda.
